These Terms of Service govern this public website, its product and pricing information, contact channels and account sign-up. The website is operated by NestEgg OÜ, trading as ICOS.
ICOS Due Diligence is live. The product application is at dd.icosstudio.com. These terms also govern free accounts created through this website.
ICOS Due Diligence is business-to-business cloud software for regulated organisations. It supports counterparty due diligence cases, questionnaires, document collection, review, sign-off, audit records and monitoring workflows.
The service supports compliance work. It does not provide legal advice, make regulatory decisions for a customer or replace the customer’s own professional judgement and legal obligations.
Free accounts are provided for evaluation on a limited counterparty portfolio. Features may change. A free account does not create a paid subscription.
The free plan is limited to one account per company, meaning one account per legal entity and its affiliated or group companies. Opening or attempting to open multiple free accounts for the same entity, including through different email addresses, personnel or related companies, is not permitted, and we may close all associated accounts without prior warning where we reasonably believe this has occurred. We may ask an account holder to verify the identity of the organisation behind a free account, and may suspend the account until that verification is provided.
Where accounts are closed under this section, we will make case data available for export for a period of 30 days from closure unless the law requires otherwise, and our data retention obligations under the Privacy Policy continue to apply. Closure of a free account under this section does not affect any paid subscription contract for a different, properly registered entity.
The order page shows the selected plan, net price, VAT treatment, total price in euros, billing interval, payment method, renewal terms and cancellation route before the customer accepts an order. A subscription starts only after we accept the order and confirm it to the customer.
The service is intended for organisations and people acting for a business. Customers will be responsible for account security, authorised-user access, lawful instructions, the accuracy of information they supply and their legal basis for processing personal data through the service.
You must not disrupt the website or product application, bypass security controls, submit malicious material, use the service unlawfully or upload real personal data into a sandbox or test account unless ICOS has expressly authorised that test and the required safeguards are in place.
Our Privacy Policy explains how NestEgg OÜ handles data for this website, account sign-up, product accounts and billing. Where a customer uses ICOS Due Diligence to process counterparty data, the customer will normally act as controller and NestEgg OÜ as processor under a separate data processing agreement.
The website, product application, software, design, copy and ICOS branding are owned by or licensed to NestEgg OÜ. You may evaluate the public website and use the product application for its stated purpose. You may not copy, republish, reverse engineer or commercially exploit it except where the law expressly permits.
We may change, suspend or withdraw the website or product application. To the extent permitted by law, NestEgg OÜ is not responsible for indirect or consequential loss arising from reliance on website information or an evaluation environment. Nothing in these terms excludes liability that cannot lawfully be excluded.
These terms are governed by the laws of Estonia. The courts of Estonia have jurisdiction, subject to any mandatory rights that apply in your place of residence or business.
